Les Kernan currently serves as the managing partner of the firm.  Mr. Kernan focuses his practice in corporate and commercial transactional work with an emphasis on commercial lending, equipment lease financing, and real estate financing, acquisitions and sales. He represents business clients and entrepreneurs at all stages of their business development, including the formation, capitalization, management and operation of business entities, and mergers and acquisitions.

With respect to commercial financing, Mr. Kernan has combined his prior commercial banking experience with his legal expertise to provide counsel to a number of local, regional and national banks.  His work in this area has included the negotiation and documentation of new transactions, the restructuring of existing credit facilities and the workout of distressed credit transactions.

Mr. Kernan combines his experience and training to advise his clients on the legal ramifications and business aspects of transactions, and has lectured on several topics relevant to the formation and organization of business entities. For his not-for-profit clients, Mr. Kernan draws on his full range of skills and experience to effectively advise his clients with regard to board and governance issues, charitable giving, tax planning and corporate reorganizations. Mr. Kernan has significant experience addressing and resolving issues in a variety of business related areas, including private equity offerings, technology matters, trademarks, copyrights, protection of intellectual property rights, the drafting and negotiation of licensing agreements, confidentiality agreements and other documents related to trade secrets and proprietary rights. He has published articles on the protection of trademarks and copyrights, and other business-related topics.
